Agreement to Terms
By accessing or using the services provided by Five Hughes LLC, doing business as Vertical Consulting ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Services
Vertical Consulting provides AI automation consulting and implementation services for businesses. Specific services, deliverables, and pricing are outlined in individual service agreements or statements of work.
Use of Services
You agree to:
- Provide accurate and complete information when requested
- Use our services only for lawful purposes
- Not interfere with or disrupt our services or servers
- Comply with all applicable laws and regulations
Intellectual Property
Unless otherwise specified in a service agreement, we retain ownership of all intellectual property we create in the course of providing services. You receive a license to use deliverables as specified in your service agreement.
Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may incur interest charges.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship.
Limitation of Liability
To the maximum extent permitted by law, Vertical Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or the nature of the claim.
Disclaimer of Warranties
Our services are provided "as is" without warranty of any kind. While we strive to deliver high-quality services, we do not guarantee specific results or outcomes.
Termination
Either party may terminate services as specified in the applicable service agreement. Upon termination, you remain responsible for any outstanding payments.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Mississippi, without regard to its conflict of law provisions.
Dispute Resolution
Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Mississippi.
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes. Your continued use of our services after changes constitutes acceptance of the modified terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
